Please read these Terms of Service ("Terms") carefully before using the Site or any of our services. By accessing or using the Site, our services, or any of the content on the Site, you agree to be legally bound by these Terms. If you do not accept these Terms, do not use the Site or any of its content or services.

You represent to Ai Core Services that you are lawfully able to enter into contracts (e.g., you are not a minor). If you are entering into these Terms for an entity (e.g., the company you work for), you represent that you have authority to bind that entity and you agree that "you" as used in these Terms includes both you personally and the entity you represent. You and Ai Core Services are collectively referred to as the "Parties" and each is a "Party".

• Reputation Management

• Artificial Intelligence Solutions

Loyalty and Marketing Automation Services

Ai Core Services provides digital loyalty and rewards programs, customer engagement tools, and automated communication systems designed to help businesses improve retention and marketing efficiency. These solutions may include features such as digital cards, customer segmentation, scheduled messaging, and analytics dashboards.

2. SUBSCRIPTION AGREEMENT

2.1 Orders and Access

If you are accessing or using Ai Core Services' paid services (the "Services"), your use is governed by this Agreement. Each subscription or purchase you make through our website or dashboard ("Order") defines your specific Service plan and its features.

2.2 Grant of License

Subject to the applicable Order and this Agreement, Ai Core Services grants you a non-exclusive, non-transferable right to access and use the Services during the subscription term. You may not resell, distribute, or sublicense the Services without written permission.

2.3 Pricing and Fees

• Fees are listed on our Pricing Page and must be paid in Canadian Dollars (CAD)

• All fees include applicable GST/HST and QST

• Setup fees are non-refundable

• Subscription services are billed in advance on a recurring basis

2.4 Cancellation Policy

You may cancel your subscription at any time by sending written notice to [email protected] or by using the cancellation option in your account (if available). Cancellations become effective at the end of your current billing period. You will not be charged further subscription fees after cancellation. No refunds are issued for partial billing periods, except where Ai Core Services fails to meet service standards or otherwise materially breaches this Agreement, in which case a pro-rated refund will be provided for unused time. Upon cancellation, your access to the Services will remain active until the end of the paid term, and you may request to export your data within 30 days after the cancellation takes effect.

SMS opt-out requests are processed within 24 hours, and you will not receive further messages after confirmation of your opt-out status.

3. AI CORE SERVICES CONTENT AND INTELLECTUAL PROPERTY

3.1 Content License

The Site contains text, images, videos, code, and other content ("Content") owned by Ai Core Services or its licensors ("Ai Core Services Content"). The Site and Ai Core Services Content are protected by copyright, trademark, and other laws. Ai Core Services grants you a limited, revocable, non-sublicensable license to access and use the Site for your personal, non-commercial use. Except as expressly permitted, you may not copy, reproduce, distribute, modify, or create derivative works from any Ai Core Services Content.

3.2 Trademarks

The trademarks, logos and service marks ("Marks") displayed on the Site are the property of Ai Core Services or third parties. You are not permitted to use these Marks without prior written consent.

3.3 Ownership

As between you and Ai Core Services: (a) you own your business data; and (b) Ai Core Services owns all rights, title, and interest in its software, technology, and trademarks.

Third-Party Integrations and Data Processing
To deliver certain services, Ai Core Services may integrate with third-party platforms that provide hosting, communication, analytics, or loyalty program functionality. Any client data processed through these integrations remains the property of the client. Ai Core Services acts solely as a data processor and will handle such data only as required to provide contracted services, in accordance with applicable privacy laws.

When processing SMS opt-in data on behalf of customers, we act solely as a service provider and do not share this data with any third parties except SMS delivery aggregators required for message transmission.

4. SMS AND COMMUNICATION SERVICES

4.1 Program Description

This messaging program sends appointment reminders, confirmations, seasonal offers, and promotional messages to customers who have explicitly opted in to receive SMS notifications. Opt-in is collected via web forms, checkout pages, or sign-up processes with a dedicated checkbox or clear consent mechanism for SMS communications.

Messages may include:

• Appointment confirmations and reminders

• Rescheduling updates

• Seasonal offers and exclusive promotions

• Customer support communications

• Service-related notifications

4.2 Opt-In & Consent

You will only receive messages if you have explicitly opted in. We maintain timestamped records of all opt-in actions. We comply with the Telephone Consumer Protection Act (TCPA), Canada's Anti-Spam Legislation (CASL), and all applicable telecommunications laws and regulations.

4.3 Message Frequency & Content

Message frequency varies based on your service interactions and appointment schedule (typically 2-8 messages per month). Messages will be directly related to the services you have requested or opted in to receive.

4.4 SMS Opt-Out (Cancellation Instructions)

You can cancel the SMS service at any time by texting "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. All opt-out requests are processed within 24 hours. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

4.5 SMS Support (Help Instructions)

If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance, or reach out directly to [email protected]. Customer support is available Monday-Friday, 9 AM - 5 PM EST.

4.6 Message and Data Rates

Message and data rates may apply for messages sent to you from us and to us from you. While Ai Core Services does NOT charge you for texts, your mobile carrier (e.g., Rogers, Bell, Telus, Fido, Koodo, Virgin Mobile, AT&T, Verizon, T-Mobile) might charge you based on your plan for:

• Incoming texts (if your plan doesn't include unlimited texting)

• Outgoing texts (replying to our messages)

• Data usage (if you click links in our messages)

For questions about your text plan or data plan, contact your wireless provider.

4.7 Supported Carriers

Our SMS program works with all major Canadian and U.S. wireless carriers, including Rogers, Bell, Telus, Freedom Mobile, Fido, Koodo, Virgin Mobile, AT&T, Verizon, T-Mobile, Sprint, and most regional carriers in Canada and the United States.

4.8 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

4.9 Age Restriction

You must be 18 years or older (or the age of majority in your province/state) to participate in our SMS program.

4.10 SMS Data Protection

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent records are shared only with SMS aggregators and delivery service providers for the sole purpose of transmitting messages you have consented to receive. All service providers are contractually obligated to maintain confidentiality and security.

4.11 TCPA & Regulatory Compliance

Ai Core Services complies with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, Canada's Anti-Spam Legislation (CASL), and all applicable federal and provincial/state telecommunications regulations regarding the use of SMS communications.

Push Notifications and Digital Wallet Updates

Some services may include digital wallet cards or mobile notifications sent to customers who opt in. These communications are part of the loyalty experience and can be managed or disabled through the user's device or wallet settings.

5. AVAILABILITY AND SUPPORT

5.1 Service Availability

Ai Core Services commits to making the Services available 99.8% of the time, excluding planned maintenance or events beyond our control. If the Services are unavailable for two consecutive months below this level, you may terminate the affected Order and receive a pro-rated refund.

5.2 Customer Support

Ai Core Services provides customer support via email at [email protected]. We will respond to all support requests within 48 hours.

6. PRIVACY AND SECURITY

6.1 Privacy Policy

Please review our Privacy Policy at https://www.aicoreservices.com/privacy-policy to learn about our data collection and use practices. We comply with applicable Canadian privacy laws, including PIPEDA and Québec's Law 25.

6.2 Security Measures

We maintain appropriate technical and organizational measures to protect personal and business data processed through the Services. You are responsible for securing your account credentials.

6.3 Confidentiality

Each party agrees to keep the other's confidential information secure and not disclose it to unauthorized third parties, except where required by law.

6.4 SMS Data Security & Confidentiality

We implement additional security measures specifically for SMS opt-in data, including:

• Restricted access controls

• Encrypted storage of phone numbers and consent records

• Regular security audits

• Compliance monitoring for TCPA and telecommunications regulations

SMS opt-in data is never shared with affiliates, parent companies, or third parties for marketing purposes. This data is shared only with SMS aggregators and delivery providers necessary for message transmission.

7. ACCEPTABLE USE AND RESTRICTIONS

7.1 Acceptable Use Policy

You agree to use the Site and Services lawfully, ethically, and only for legitimate business purposes. You may not use our Services to send spam, violate privacy laws, distribute harmful software, or engage in any illegal, abusive, or fraudulent activity. Ai Core Services reserves the right to suspend or terminate access for any misuse or violation of this policy.

Prohibited SMS Activities:

You may not use our SMS services to:

• Send unsolicited messages (spam) to individuals who have not opted in

• Share or sell customer phone numbers or opt-in data

• Send messages on behalf of third parties without explicit consent

• Violate TCPA, CASL, or other telecommunications regulations

• Send deceptive, fraudulent, or misleading messages

• Use SMS for illegal purposes or to harass recipients

Violation of these SMS restrictions may result in immediate suspension or termination of your account and Services.

7.2 Customer Responsibilities

• You are responsible for ensuring your users comply with this Agreement

• You agree not to misuse the Services, including attempts to gain unauthorized access, reverse engineer, or use the platform for illegal activities

• You are responsible for any use of the Site by others under your account or authorization

7.3 Use Restrictions

Under the license granted, you may not:

• Modify or copy the materials without permission

• Use the materials for any commercial purpose, or for any public display (commercial or non-commercial)

• Attempt to decompile or reverse engineer any software contained on the website

• Remove any copyright or other proprietary notations from the materials

• Transfer the materials to another person or "mirror" the materials on any other server

8. COMPLIANCE WITH LAWS

8.1 General Compliance

You agree to comply with all applicable laws when using the Site and Services, including Canadian anti-spam (CASL), privacy, and intellectual property laws. You represent that you are not prohibited from using the Site under any applicable law.

8.2 Privacy and Marketing Compliance

Both parties agree to comply with all applicable Canadian laws and regulations, including PIPEDA, Law 25, and Canada's Anti-Spam Legislation (CASL). You are solely responsible for obtaining any consents required under privacy and marketing laws before sending communications to your customers.

8.3 Global Availability

The Site is controlled from Montréal, Québec, Canada. If you access the Site from elsewhere, you are responsible for compliance with local laws. Ai Core Services makes no representation that the Site is appropriate or available everywhere.

8.4 SMS Compliance & Customer Consent

You agree to obtain all necessary consents from your customers before enrolling them in SMS programs through our Services. You are solely responsible for:

• Obtaining valid opt-in consent before sending SMS messages

• Maintaining records of customer consent

• Honoring opt-out requests promptly

• Complying with TCPA, CASL, and all applicable telecommunications laws

Ai Core Services provides tools to facilitate compliance but is not responsible for your use of those tools or your failure to obtain proper consent from your customers.

9. THIRD-PARTY SERVICES

The Site may contain links to third-party websites or services. Ai Core Services is not responsible for, and makes no warranties regarding, any third-party sites or their content. Your interactions with such sites are solely between you and the third party. The inclusion of any link does not imply endorsement by us. Use of any linked website is at the user's own risk.

Third-Party Platforms and Services
Ai Core Services may use third-party service providers and software integrations to deliver parts of the Site and Services. These providers operate under their own Terms of Service and Privacy Policies. Ai Core Services is not responsible for the actions, performance, or data management practices of these independent providers. Use of third-party features is at the client’s discretion and subject to the respective provider’s terms.

10. SERVICE LIMITATIONS AND DISCLAIMERS

10.1 No Guarantee of Specific Outcomes

While we strive to deliver high-quality results, we do not guarantee specific outcomes, such as search engine rankings, lead generation, or revenue increases from our services. All services are provided on a best-effort basis.

10.2 General Disclaimers

THE SITE, SERVICES, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. AI CORE SERVICES DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

The materials on this website could include technical, typographical, or photographic errors. We do not warrant that any of the materials on the website are accurate, complete, or current. We may make changes to the materials at any time without notice.

Automation and AI Features
Certain services provided by Ai Core Services may include automation or artificial intelligence–driven features such as scheduling, message generation, or customer behavior triggers. While these tools are designed to improve efficiency, Ai Core Services is not responsible for unintended automated actions resulting from client configurations or third-party system behavior.

11. INDEMNIFICATION

You agree to defend, indemnify and hold harmless Ai Core Services, its affiliates, and their employees, agents, and directors from any claims, damages, or losses arising out of your use of the Site or Services, your misuse of the Services, or violation of these Terms.

12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) AI CORE SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS OR DATA) (b) AI CORE SERVICES' TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF CAD $200 OR THE AMOUNT YOU PAID FOR THE SERVICES IN THE PREVIOUS 12 MONTHS.

13. TERMINATION AND MONITORING

13.1 Termination for Violation

If you violate these Terms, Ai Core Services may suspend or terminate your access to the Site and Services. Ai Core Services may investigate suspected violations and cooperate with authorities where required.

13.2 Termination for Service Failure

Either party may terminate this Agreement if the other materially breaches its obligations and fails to cure within 30 days. Upon termination, you remain responsible for unpaid fees.

13.3 Data Export

Ai Core Services may allow limited access to export your data for up to 30 days following termination.

14. ELECTRONIC COMMUNICATIONS

By using the Site or communicating with us electronically, you consent to receive communications from us electronically, including notices and agreements.

15. PRIVATE LABEL OPTION

If you purchase or use a private-label or reseller version of our Services, you may promote and sell these Services under your own brand name, provided that all marketing materials accurately represent the features and limitations of the Services. You are responsible for providing support to your own customers and ensuring their compliance with these Terms. Any misuse of Ai Core Services’ trademarks, intellectual property, or technology is strictly prohibited.

16. PUBLICITY

Ai Core Services may reference your company name or logo for marketing purposes, unless you request removal in writing.

17. FORCE MAJEURE

Neither party will be liable for delays caused by events beyond reasonable control, including natural disasters, power outages, or internet failures.

18. DISPUTE RESOLUTION

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to mediation or arbitration before pursuing remedies in court.

19. MODIFICATIONS TO TERMS

We may modify these Terms at any time by posting an updated version on the Site. Continued use of the Site after changes means you accept the updated Terms. Changes to subscription terms take effect the following month. If you do not agree, you may cancel your subscription.

20. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada. Any disputes will be resolved exclusively in the courts of Montréal, Québec.

The Parties expressly request that these Terms and all related documents be drawn up in English. (Les parties demandent expressément que la présente convention ainsi que tous les documents s'y rattachant soient rédigés en anglais.)

21. GENERAL PROVISIONS

21.1 Independent Parties

Each party is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

21.2 Assignment

You may not assign these Terms without Ai Core Services' written consent. Ai Core Services may assign without restriction.

21.3 Entire Agreement

These Terms, along with your Orders and referenced policies, constitute the entire agreement between you and Ai Core Services regarding the Site and Services.

21.4 Severability

If any provision is held invalid, the remaining provisions remain in full force.
